Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Alpha Gamma PTE Ltd (doing business as "SympleHost") ("Company," "we," "us," or "our") concerning your access to and use of the SympleHost platform, website, mobile application, and all related services (collectively, the "Services").

1. Service Description

1.1 Platform Overview

SympleHost provides a comprehensive property management platform enabling property owners, managers, and service providers to:

• List and manage properties, services, packages, and rentals
• Automate guest communication across multiple channels (WhatsApp, Instagram, Facebook Messenger)
• Process bookings and reservations
• Create direct booking websites using our visual builder
• Handle payments through integrated payment processing (Stripe Connect)
• Utilize AI-powered automation for guest engagement (Autopilot)
• Track analytics and manage operations

1.2 Service Availability

• Services are provided "as is" and "as available"
• We strive for 99.9% uptime but do not guarantee uninterrupted access
• Scheduled maintenance will be communicated in advance when possible
• We reserve the right to modify, suspend, or discontinue features with notice

2. Account Registration and Responsibilities

2.1 Account Creation

To use the Services, you must:

• Be at least 18 years of age
• Provide accurate, current, and complete information
• Maintain and update your information as necessary
• Have the legal authority to enter into this agreement

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password and account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Using strong passwords and enabling two-factor authentication (if available)

3. User Conduct and Acceptable Use

3.1 Permitted Uses

You may use the Services only for lawful purposes and in accordance with these Terms. Specifically, you agree to:

• Use the Services for legitimate property management and booking activities
• Provide accurate information about properties, services, and availability
• Respond to guest inquiries and bookings in a timely manner
• Honor confirmed bookings and commitments
• Comply with all applicable local, state, national, and international laws

4. Bookings and Reservations

4.1 Booking Process

• Guests may book properties or services through your direct booking website or via external channels (OTAs)
• You are responsible for managing your calendar and availability
• Confirmed bookings create a binding agreement between you and the guest
• You must honor all confirmed bookings unless extraordinary circumstances arise

4.2 Pricing and Payment Terms

• You set your own pricing for properties and services
• Prices must be clearly displayed and include all mandatory fees
• Taxes may apply based on location and local regulations
• Payment processing is handled through Stripe Connect (see Section 6)

SympleHost operates on a base + usage pricing model:

• Base Fee: Monthly platform access fee
• Property Fees: Per-property charges (with free tier)
• AI Usage: Per-response charges for AI features (with free tier)
• Website Fees: Per-website charges for direct booking sites (with free tier)
• Commissions: Percentage of gross booking revenue (direct bookings only)

6. AI-Powered Features and Autopilot

6.1 AI Services

SympleHost utilizes artificial intelligence and machine learning technologies from providers including Anthropic (Claude), OpenAI (GPT), and Google AI to power features such as:

• Automated guest communication (Autopilot)
• Conversation summarization and analysis
• Message categorization and routing
• Response suggestions and templates
• Pricing recommendations and analytics

8. Intellectual Property Rights

8.1 SympleHost IP

All rights, title, and interest in the Services, including but not limited to:

• Software, code, and algorithms
• Trademarks, logos, and branding (SympleHost name and logo)
• Design, layout, and user interface
• Documentation and content created by us

8.2 User Content License

By uploading content to the Services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, and distribute your content solely to provide and improve the Services.

11. Dispute Resolution

11.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@symplehost.ai to attempt informal resolution. We will attempt to resolve disputes within 30 days.

11.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration, except as noted below.

• Arbitration will be conducted by a neutral arbitrator
• The arbitrator's decision is final and binding
• Each party bears their own legal fees unless otherwise awarded

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.

Subject to the arbitration provisions above, you agree to submit to the exclusive jurisdiction of courts located in Singapore for any disputes.

13. Term and Termination

13.1 Termination by You

You may terminate your account at any time by:

• Using the account closure feature in Settings
• Contacting customer support at support@symplehost.ai

13.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms or Acceptable Use Policy
• Your account poses a security risk
• You engage in fraudulent or illegal activity
• Payment obligations are not met
• Required by law or legal process
